The firm is seeking a corporate and general business associate to join our firm in Louisiana. A top candidate for the position has 3 to 7 years of corporate governance, mergers and acquisitions and general business experience. Regulatory and compliance experience for regulated finance or insurance industries and/or real estate and asset based commercial finance is a plus but not required. In this role, you will assist our team in counseling clients regarding entity formation, growth and exit strategies, joint ventures, strategic alliances, leading transactions and licensing activities. This is an excellent opportunity for an attorney to hone his or her legal business skills and knowledge in a culture that values collaboration and hard work. Candidates must be licensed in Louisiana. License to practice in Louisiana must be active and in good standing. Flexible schedules available. While we encourage our attorneys to have a regular presence in the office to promote collegiality and our firm culture, our remote work policy provides for remote work options.
Requirements of the position:
3 to 7 years of prior general business, corporate governance mergers and acquisitions experience;
A current license to practice law in the state of Louisiana must be active and in good standing;
Corporate transactional, governance and general business experience;
Perform business entity formations, conversions, and dissolutions;
Perform business and M & A due diligence, including data room and paper diligence, writing diligence reports, and memos;
Experience with drafting resolutions, consents, officers certificates, and corporate documentation;
Experience with lending documentation from the borrower or lender's perspective, particularly collateral documentation;
A working knowledge of UCC financing statements, including filing, amendments, and termination statements.
Ideal candidates will also have:
Regulatory and compliance experience in finance or insurance or any other industry;
Experience with private equity transactions;
A team mindset while assisting clients with their legal and business needs and issues;
Confidence in serving as a representative of clients and our firm;
Excellent research and analytical skills as well as clear and concise verbal and written communication skills;
A demonstrated dedication to client service.
