Duties: Providing legal advice on corporate transactional mergers & acquisitions (M&A); Developing, implementing, placing, and negotiating transactional insurance products on behalf of private equity and corporate clients; Advising internal and external legal counsel on corporate transactions, including buying and selling of assets, mergers, acquisitions, and divestitures for public and private equity companies, private equity funds, and financial institutions; Drafting contracts to coordinate M&A agreements with insurance policies; Counseling clients on M&A strategy and strategy for negotiation of indemnity packages; Incorporating representatives and warranties insurance into deal structures and implement the placement of the insurance program; Managing and overseing the placement of representations and warranties insurance to customize solutions to protect investments against tax uncertainties and pending litigation; Researching and performing legal analysis on corporate law including the Delaware General Corporation Law and Delaware Limited Liability Company Act; Researching and performing legal analysis on securities law including Sections 13 and 14 of the Securities Exchange Act of 1934; Performing contract review using Kira machine learning technology or a commercially-equivalent product; Performing precedent and comparable transaction database review using Deal Point Data and Intelligize or commercially-equivalent products; Conducting and organizing M&A due diligence using diligence trackers and virtual data rooms; Building, maintaining, and leveraging relationships to identify business growth opportunities; Traveling to various and unanticipated worksites throughout the United States up to 25% of time.
