FTM – M&A and Commercial Finance is at the heart of delivering Shell’s strategy through the achievement of its aspired asset portfolio and its goal to become a world class investment opportunity that powers progress by providing more and cleaner energy solutions in Shell’s Upstream, Integrated Gas, Downstream, Renewables & Energy Solutions and Trading businesses. FTM provides Finance input and M&A execution capability for RDS’ acquisitions, divestments, business combinations, JVs and restructurings. The FTM team based in Houston supports these types of complex transactions with focus on the Americas region, as well as for some global opportunities.
The Finance Lead is part of the FTM Americas team and reports to a Senior Manager.
What’s the Role?
As Finance Deal Lead for material transactions (which could include acquisitions and divestments, asset swaps, joint venture formation or restructuring and commercial agreements for organic projects) the person is accountable to the Business Opportunity Manager (BOM) for delivery of the full suite of Finance activities related to a transaction, including Deal Structuring to Maximise Value/Minimise Risk, Due Diligence, Financial Framework and ORM Process Compliance, Corporate Approvals, Negotiation of Finance aspects of the transaction, Risk Assessment and Mitigation, Accounting and Reporting, Tax, Treasury, Risk & Insurance, Investor Relations; Execution and handoff to transition and integration Business Finance leads.
Participate in Value Assurance Reviews/Post Investment Reviews as part of the overall assurance framework/
The Finance Lead will work closely with the Valuation Leads, also in FTM, who have accountability for valuation insights. The Finance Lead retains accountability for providing independent insights and support to the Finance signatory in an opportunity.
As part of the wider Global FTM team, contribute to sharing of knowledge across FTM whether in a formal role as part of an FTM Knowledge Sharing network or generally by sharing expertise and best practice.
Skills & Requirements
What we need from you –
Must have legal authorization to work in the US on a full-time basis for anyone other than current employer
Minimum of ten (10) years of experience in M&A and/or Commercial Finance roles
MBA/Master’s degree in finance or Economics is preferred.
Relevant experience in one or more of the main Group business areas, i.e. Upstream, Downstream, Integrated Gas and Renewables & Energy Solutions.
Excellent communication and analytical skills, strong commercial acumen and the ability to operate within a dynamic rapidly changing environment
Able to establish credibility at the relevant level with management inside and outside project teams
Demonstrated track record of leading and/or coaching staff actively supporting their professional and leadership development.
Practical mindset, get things done and achieve outstanding results, creating and protecting value for Group
