Your opportunity
Responsible for providing advice, guidance and support to management and the executive leadership team on a variety of transactional, corporate, securities, governance, and commercial matters
Serve as lead counsel on M&A and other strategic transactions, including NDAs, letters of intent, structuring advice, managing due diligence, preparing transaction agreements and overall deal management
Serve as lead counsel on corporate finance matters, including credit facilities, corporate debt issuances, stock repurchase programs and registration statements
Provide support as needed on Janus Henderson’s proxy statement and other SEC filings (10-Ks, 10-Qs, 8-Ks)
Provide support as needed on general corporate, securities and corporate governance matters, including support for Janus Henderson’s Board of Directors
Serve as a true business partner, balancing risks appropriately against business objectives
Carry out other duties as assigned

Must have skills
Law degree
7 years of progressive experience, focused on transactional, capital markets, corporate, securities and governance matters with a major law firm and/or corporate law department
Demonstrated success working with management teams and/or Board of Directors
Strong communication and negotiation skills, both verbal and written
Ability to work independently and prioritize appropriately across a wide range of work
Strong professional presence with good interpersonal, team working and influencing skills
Ability to find innovative solutions within acceptable levels of risk
Nice to have skills

Compensation information
The base salary range for this position is $200,000-$250,000. This range is estimated for this role. Actual pay may be different.

Annual Bonus Opportunity:
Position is eligible to receive an annual discretionary bonus award from the profit pool. The profit pool is funded based on Company profits. Individual bonuses are determined based on Company, department, team and individual performance.
