The Data Protection and Privacy Consultant, M&A and Integration (Consultant) provides direct support to the entire organization by advising on a wide range of data protection and privacy issues in the context of mergers and acquisitions, divestitures, partnerships, and other business development opportunities, through any regulatory review prior to closing and post close integration. This includes high-quality privacy due diligence, leading all aspects of privacy advising and deliverables during the post-closing integration to accelerate go-to-market efforts for newly acquired products and technology, and improving the onboarding of newly joined teams.
This seasoned professional will actively engage with Operating, Regional and Functional Units personnel and leaders to provide privacy M&A due diligence and cross-functional deliverables on all M&A related matters. The Consultants efforts will further support Medtronics commitment to privacy and compliance with all applicable privacy laws and regulations, and in particular the integration of newly acquired businesses into the Medtronics privacy practices.
Acting as a key member of the Data & Privacy Center of Expertise (COE), the Consultant reports into the Senior Manager, Privacy Operations in Global Data and Privacy Center of Expertise (COE), and is working in close cooperation with, and including oversight from, the respective Data and Privacy Global Sr. Advisors of the Operating Units and the Operating Units legal counsels.

**A Day in the Life**
Responsibilities may include the following and other duties may be assigned.
Lead by example to model a culture of ethics and integrity; exercise sound judgment and courage as a trusted advisor to internal Medtronics cross-functional teams and other stakeholders;
Serve as a dedicated Data and Privacy COEs privacy expert for all privacy-related aspects of M&A due diligence and post-close integration;
Support major M&A transactions and complex strategic initiatives to ensure accountability for both data and privacy legal/regulatory compliance and strategic advising; this includes providing advice on secure, confidential and compliant exchange of data during negotiations and due diligence, performing due diligence activities and advising on data & privacy related risks and possible remediation, provide input for agreements and support during negotiations, and advise on and support post-close remediation and integration actions;
Provide subject matter expertise for the Data and Privacy COE in development and implementation of core privacy program elements related to M&A processes and procedures, with a particular focus on continuous improvement, efficiency, and simplification. This may include the analysis of results of assessments to identify trends and patterns that can be used to improve review efficiencies, existing processes, and standards;
Support Data and Privacy COE leadership in maturing and implementing a M&A data & privacy assessment and integration strategy that takes into account key data and privacy issues, such as expansion into new industries or geographic regions, new data models, etc.;
Work with the Sr. Compliance Prog Mgr, Governance, Training, Monitoring in the COE:
To develop and execute a post-close integration strategy to ensure successful integration of the acquired businesses into Medtronics Data & Privacy Program;
To regularly assess of the impact of Medtronics M&A strategy on Medtronics data protection & privacy regulatory profile and the COEs risk assessment model;
Engage with cross functional partners from Operating, Regional, and Functional Units including Global Security Office, Corporate Compliance, Legal, and Integration teams through the lifecycle of M&A transactions;
Other duties as assigned.
**Must Have: Minimum Requirements**
Bachelors degree with 10 years of privacy experience; or, an advanced degree with 8 years of experience
**Nice to Have**
Advanced degree
Strong understanding of privacy principles and privacy operations
Practical experience with the best practices related to privacy due diligence throughout entire M&A life cycle from pre-close to integration
Proven ability to strategically navigate complex privacy issues and identify tangible solutions
Experience with M&A activities and regulatory counseling
Ability to learn different technologies and technical solutions aligned to Medtronics mission
Experience with privacy impact assessments as well as privacy risk remediation efforts
The ability to communicate (verbally and in writing) complex issues and concepts to a wide range of audiences from business executives and legal advisors to technical managers
Knowledge of and experience supporting business understanding and compliance with privacy laws in the US as well as outside the US
Experience in working within global cross-functional M&A team
Experience in the healthcare industry
Experience supporting data privacy, security, or equivalent function directly or indirectly for a large, regulated, and matrixed organization
CIPP, CHPC or similar certification, or sufficient demonstrated experience and/or formal education in Privacy and Compliance
Project/program management experience
Experience in supporting cross-functional teams
Experience directly or indirectly with compliance or similar function
Experience supporting change management projects
Strong knowledge of, and experience in program and project management
Experience working with global and/or matrixed IT systems, services, operations, or other related management environment
Demonstrated cross-functional team execution skills
Experience assessing and defining system specifications preferably in relation to compliance with data protection and privacy regulations
Demonstrated advocate for proper data management systems
Demonstrated influence management skills, exceptional interpersonal and communication skills
Demonstrated experience building positive relationships with a variety of stakeholders, including with employees, clients, senior management, external parties/authorities, and suppliers
Demonstrated results orientation (driving to deadlines, financial targets, project goals, etc.)
Strong ability to work collaboratively and partner with employees, other leaders, clients, and vendors
Demonstrated ability to work across many levels of an organization, from VP to non-exempt staff
Demonstrated ability to work across a matrixed or virtual organization and still meet objectives
Demonstrated ability to manage multiple priorities simultaneously
Demonstrated ability to utilize excellent decision-making skills
Experience and demonstrated ability to present to a variety of audiences including the ability to translate technical information
Lean Sigma or Six-Sigma training/experience
Vendor management experience
Familiarity with FDA and FTC regulations, domestic and international privacy regulations including HIPAA, PIPEDA, US Patriot Act, GDPR, Breach Notification laws, ISO and other standards bodies and international standards
