Absolutely.nWhat youu2019ll learn & achieve:nThis role is responsible for the management of Mergers and Acquisitions activity including prospecting, valuation, due diligence, analysis, deal structuring, and presentation. Manages all aspects of the M&A process for potential mergers and acquisitions, minority investments, strategic partnerships, alliances, and joint ventures. Develops in-depth analysis of economic, industry, customer, competitor, and financial data to prepare studies on potential acquisitions. Substantial work, collaboration and presentation interaction with the senior UL leadership team, including Customer Operating Unit, Segment and Corporate Function leaders. Supervises team of analysts, manager(s) and large, cross-functional internal and external teams.n nJOB RESPONSIBILITIES:nn Supports business leaders in the identification of acquisition targets through the analysis of customers, products, markets, geographies, issues, and competitors. Ensures acquisition opportunities are aligned to corporate strategic objectives.n Manages the development of financial projections for acquisition targets. Performs discounted cash flow analysis to determine valuations. Capable of performing other valuation / returns analysis including (i) comparable company and precedent transaction analysis, (ii) accretion/dilution analysis and (iii) return on invested capital.n Analyzes acquisition targetsu2019 revenue and cost trends for the due diligence process.n Develops evaluation criteria to analyze the costs and synergies of potential acquisition opportunities.n Manages the due diligence process for acquisitions, coordinating activities across multiple workstreams and integrating the findings from Legal, Finance, Accounting, Tax, Human Resources, and Operations into the final analysis and deal evaluation.n Assist with the preparation of presentations that support the approval of acquisitions by the UL senior leadership team and the Board of Directors.n Manages the performance of direct reports by managing workloads, establishing performance objectives, providing career counseling, feedback and guidance and ensuring that all policies are understood and adhered to.n Manages multiple external relationships with investment banks, external counsel and other professional advisory firms.n Reads and follows the Underwriters Laboratories Code of Conduct, and follows all physical and digital security practices.n Performs other duties as directed.nnWhat makes you a great fit:nn University degree (Equivalent to a Bacheloru2019s degree) in Finance, Accounting, Economics or Business Administrationnnn Six to nine yearu2019s professional level experience in corporate development, investment banking, private equity or a mergers and acquisitions function in a corporate environment.nnn Advanced degree and/or CPA.nnn Global M&A experience a plus.nnn Ability to execute all phases of a transaction of large companies.nnn Ability to support post-transaction integration of large companies.nnn Ability to interpret financial statements and analyze historical performance for possible M&A opportunities.nnn Ability to independently develop financial projections for Income Statements, Balance Sheets and Cash Flow Statements.nnn Ability to present information and respond to inquiries from internal or external clients, top management, and government agencies.nnn Ability to analyze and interpret a wide variety of materials including technical journals, financial reports, and legal documents.nnn Ability to gather and interpret complex information from diverse sources in a wide variety of forms.
